Terms and Conditions

1. Scope and Provider
These Terms and Conditions govern the business relationship between Voksera (operated by Adham Pasha, hereinafter "Voksera") and its clients (hereinafter "Client"). Voksera provides influencer marketing services, including the identification and matching of suitable influencers, campaign script creation, and coordination between brands and influencers.
By engaging Voksera's services, the Client agrees to these Terms and Conditions in full.
2. Services
Voksera provides the following services:
- Identification and selection of suitable influencers based on the Client's brief
- Creation of campaign scripts and content guidelines
- Communication and coordination between the Client and the influencer
- Campaign oversight to ensure content is published as agreed
Voksera acts solely as an intermediary and coordinator. Voksera does not guarantee specific campaign results, including but not limited to reach, engagement, sales, or follower growth.
3. Contract Formation
A contract between Voksera and the Client is formed when both parties have agreed in writing (including via email) on the scope of services, the influencer(s) involved, and the agreed compensation. No verbal agreements are binding.
4. Client Obligations
The Client agrees to:
- Provide a clear and complete brief outlining campaign goals, target audience, and any specific requirements
- Respond to communications from Voksera in a timely manner
- Review and approve scripts and content guidelines within the agreed timeframe
- Make payment in full and on time as agreed
- Ensure that all provided materials (logos, product images, claims) comply with applicable law
5. Compensation and Payment
Voksera's compensation is agreed individually for each campaign and confirmed in writing prior to the start of work. Unless otherwise agreed, the following applies:
- Voksera's fee is calculated as a percentage of the total influencer compensation or as a fixed project fee
- Payment is due within 14 days of invoicing
- In case of late payment, Voksera reserves the right to pause or cancel services
6. Influencer Responsibility
Influencers are independent third parties. Voksera is not responsible for the actions, content quality, delays, or conduct of influencers once a campaign is underway. Voksera will make reasonable efforts to ensure influencers fulfill their agreed obligations but cannot be held liable for influencer non-performance.
7. Liability
Voksera's liability is limited to cases of gross negligence or willful misconduct. Voksera is not liable for:
- Failure to achieve specific campaign results or business outcomes
- Actions or omissions of influencers
- Indirect or consequential damages arising from the use of Voksera's services
- Delays caused by the Client's failure to provide timely feedback or materials
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of their business relationship. This obligation remains in effect for two years after the end of the contractual relationship.
9. Termination
Either party may terminate the agreement with written notice. If the Client terminates after work has begun, Voksera is entitled to compensation for work already performed. If Voksera terminates due to Client non-payment or breach of these terms, any outstanding fees remain due.
10. Intellectual Property
Scripts and creative materials produced by Voksera remain the intellectual property of Voksera until full payment has been received. Upon full payment, the Client receives a non-exclusive license to use the materials for the agreed campaign purpose.
11. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Ludwigshafen am Rhein, Germany, to the extent permitted by law.
12. Changes to These Terms
Voksera reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes. Continued use of Voksera's services after notification constitutes acceptance of the updated terms.
